THIS PROGRAM IS MEANT TO STRUCTURE AND GOVERN PARTICIPATION IN COMMUNITY QUESTS INITIATED BY TAC AND CONDUCTED THROUGH THIRD-PARTY PLATFORMS. NO REWARDS ARE GUARANTEED AND ARE SUBJECT TO THE TERMS OF THIS PROGRAM. TAC RESERVES THE RIGHT TO MODIFY OR TERMINATE THIS PROGRAM OR A QUEST AT ANY TIME WITHOUT NOTICE. BY PARTICIPATING IN ANY QUEST, THE PARTICIPANTS CONFIRM THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO TERMS AND CONDITIONS OF THIS PROGRAM, INCLUDING ALL ELIGIBILITY RESTRICTIONS, COMPLIANCE REQUIREMENTS, RISK DISCLOSURES AND DISCLAIMERS.
This program (“Program”) governs participation in TAC community contests, quests, campaigns (each, a “Quest”) conducted through third-party platforms such as Galxe (https://www.galxe.com/), Debank (https://debank.com/), Intract (https://quest.intract.io/), Yap market (https://www.yap.market/), Telegram mini apps or other similar providers (“Platforms”).
This Program is discretionary and nothing in this document creates a legal obligation on the part of TAC Foundation, its affiliates or service providers (“TAC”) or the Platforms.
- Purpose
The Program is designed to encourage and reward engagement with TAC’s ecosystem by completing Quests announced and conducted through the Platforms.
- Eligibility
Any person may participate in Quests through the Platforms (“Participant”) provided that such person:
a) is duly registered and authorized on the respective Platform;
b) is not resident in any jurisdiction where participation in Quests or receipt of digital asset rewards is prohibited, restricted, or would require TAC and/or the Platform to obtain additional licenses, consents, or regulatory approvals;
c) is not, and has never been, a Politically Exposed Person (PEP), nor a family member or known close associate of a PEP as defined below and under applicable law.
For the purpose of this Program, a Politically Exposed Person (“PEP”) includes an individual who is or has been entrusted at any time in the last twelve (12) months with a prominent public function (other than as a middle-ranking or more junior official), including the following:
- heads of state, heads of government, ministers and deputy or assistant ministers;
- members of parliament or of similar legislative bodies;
- members of the governing bodies of political parties;
- members of supreme courts, of constitutional courts or of any judicial body the decisions of which are not subject to further appeal except in exceptional circumstances;
- members of courts of auditors or of the boards of central banks;
- ambassadors, charges d'affaires and high-ranking officers in the armed forces;
- members of the administrative, management or supervisory bodies of State-owned enterprises; and
- directors, deputy directors and members of the board or equivalent function of an international organisation.
A PEP also includes its:
- family members: a spouse or civil partner of the PEP; children of the PEP and the spouses or civil partners of the PEP's children; parents of the PEP; and
- known close associates: (i) an individual known to have joint beneficial ownership of a legal entity or a legal arrangement or any other close business relations with a PEP; (ii) an individual who has sole beneficial ownership of a legal entity or a legal arrangement which is known to have been set up for the benefit of a PEP.
d) is not:
- listed on, nor affiliated with any person or entity listed on, any sanctions list maintained by the Cayman Islands Monetary Authority or otherwise applicable under Cayman Islands law, British Virgin Islands Financial Services Commission, the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the United Nations Security Council, or other applicable sanctions lists; and
- a citizen or resident of, or located in, a country or territory subject to comprehensive economic sanctions or embargoes imposed by the Cayman Islands, the British Virgin Islands, the United States, United Nations, European Union, United Kingdom or any other relevant authority.
e) has reached the age of majority in its jurisdiction of residence;
f) is not a current or former investor, stockholder, employee, director, officer, advisor or other consultant of TAC;
g) does not employ VPNs, proxies, automated scripts, false identities, or other obfuscation techniques in order to evade or circumvent the above eligibility restrictions;
Participation in any Quest and any rewards obtained in violation of this clause may, at TAC’s sole discretion, be terminated, cancelled, withheld, or clawed back (as applicable) and such decision shall be final, binding, and not subject to appeal or review.
- Quests
Each Quest will be announced by TAC, at its sole discretion, through official TAC accounts on the social media platforms and/or applicable Platform (“Announcement”).
Each Announcement may specify the tasks to be performed by Participants (e.g., subscriptions, views, actions on social networks and etc.), the duration of the Quest; the rewards available; and any additional conditions applicable to that Quest.
Quest shall not be deemed commenced unless and until an Announcement is published.
Participants shall strictly comply with the terms and guidance specified in the relevant Announcement, and TAC’s determination as to compliance therewith shall be final and binding.
- Rewards
Selection of the winners of a Quest, or the criteria for selection of winners, among Participants who successfully complete the required tasks of the Quest is determined by TAC at its sole discretion or by raffle or other allocation mechanism as set forth in the Announcement and/or the Platform rules, as applicable.
Rewards to the winners of the respective Contest are distributed:
a) via the relevant Platform’s smart contract functionality; or
b) directly by TAC;
as determined by TAC at its sole discretion, only to the TON-compatible digital wallet address specified by the Participant on the respective Platform or, subject to compliance with clause 6 of this Program, notified by the Participant to TAC, as applicable. The accuracy, functionality, and security of such wallet are the sole responsibility of the Participant.
TAC and the Platform shall bear no responsibility for failed, delayed, misdirected, or unauthorized transfers of rewards, including transfers:
a) to invalid or incorrectly submitted wallet addresses;
b) intercepted or redirected due to malware, phishing, or hacks;
c) rendered inaccessible due to loss of private keys, custodial failures, or blockchain malfunctions.
Participants are solely responsible for determining, reporting, and paying any and all taxes, duties, or other governmental charges that may apply to their rewards for a Quest, in accordance with the laws of their jurisdiction. TAC assumes no liability for such obligations and will not provide tax advice or reporting assistance.
The amount of the rewards may be amended at TAC’s sole discretion on a case-by-case basis. TAC reserves the right to modify reward amounts or decline to issue rewards at any time.
- Disclaimers
By participating in a Quest, each Participant acknowledges and accepts the following:
a) Digital Asset Volatility. Rewards may be denominated in digital assets, the value of which can fluctuate significantly and without warning. Participants may suffer partial or total loss of value;
b) Regulatory Risk. Digital assets and related activities are subject to evolving laws, regulations, and enforcement actions. Participation in Quests may be or become unlawful in certain jurisdictions. TAC makes no representation as to the legality of Quests in any jurisdiction;
c) Technological Risks. Quests rely on third-party platforms, smart contracts, and blockchain networks, which may contain errors, bugs, vulnerabilities, or be subject to outages, forks, or attacks. Rewards may be delayed, lost, or permanently inaccessible as a result;
d) No Custody or Insurance. TAC and the Platform do not provide custody services, guarantees, or insurance for rewards. Rewards, once transferred, may be irretrievably lost;
e) Third-Party Risks. Platforms, wallets, and exchanges used in connection with Quests are operated by independent third parties. TAC has no control over, and assumes no liability for, their actions, policies, or failures;
f) Tax and Reporting. Receipt of rewards may create tax liabilities or reporting obligations. Participants are solely responsible for consulting with tax advisers and complying with all applicable tax laws;
g) Voluntary Participation. Participation in any Quest is voluntary and at each Participant’s sole risk;
h) No Guarantee of Rewards. Completion of Quest tasks does not guarantee the receipt of rewards. TAC may amend, suspend, or terminate any Quest, reward allocation, or this Program at any time, with or without notice;
i) Rewards Provided “As-Is”. Rewards are provided strictly “as is” and without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, or value;
j) Platform Disclaimer. The Platforms provide only an automated technical interface enabling the posting of Quests, the verification of task completion, and the distribution of rewards through smart contract functionality. The Platforms do not: (i) initiate, sponsor, administer, or endorse any Quest; (ii) control, verify, or assume responsibility for the content, conduct, or outcome of any Quest; (iii) have custody of, or responsibility for, any digital assets used in connection with a Quest; or (iv) bear any liability whatsoever arising out of or relating to participation in a Quest or the allocation, transfer, or receipt of rewards; and
k) Covenant Not to Sue. Each Participant irrevocably covenants not to initiate, support, or maintain any claim, proceeding, or regulatory complaint against TAC, its affiliates, employees, officers and/or the Platforms, arising out of or in connection with any Quest or reward.
- Compliance Checks
TAC may request that, as a condition to payment of any reward to the respective Participant, the Participant and its wallet address shall successfully pass compliance screening, including, but not limited to, sanctions checks to verify the compliance of the Participant with clause 2 of this Program, duplicate wallet checks, and Know-Your-Transaction procedures, and the Participant agrees to provide all necessary identification and documentation for the purposes of such compliance screening.
- Intellectual Property License
By submitting any content under any Quests, the Participant grants TAC a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable and transferable license to use, reproduce, modify, distribute, display, perform, and otherwise exploit such content for any purpose related to the promotion of TAC community, brand and services. The Participant agrees that no compensation, other than any discretionary reward, shall be due in connection with such license.
- Data Consent
By participating in the Quest, the Participant provides the following consents regarding their personal data (if applicable):
a) TAC may collect, store, and process personal data, including but not limited to name, contact information, wallet address, jurisdiction of residence, and any information submitted as part of the application in respect of the Participant (“personal data”).
b) If collected, TAC Foundation (a Cayman Islands company, registered under number CR-421525) will be the data controller even though it may from time to time engage service providers and other third parties to perform certain activities on its behalf.
c) If collected, personal data will be processed solely for purposes of:
(i) Evaluating eligibility for the Program or a Quest;
(ii) Administering the Program and a Quest, including reward allocation;
(iii) Compliance with applicable laws and regulations (including, anti-money laundering, counter-terrorist financing and sanctions checks); and
(iv) Internal record-keeping and audit purposes.
d) Processing is based on the Participant’s consent and/or the legitimate interest of TAC to administer and operate the Program and a Quest in which the respective Participant participates.
e) Personal data may be shared by TAC with its affiliates, service providers, compliance partners, or auditors solely for the purposes set out above.
f) Personal data may be stored or transferred to jurisdictions outside of the Cayman Islands/EEA with adequate level of protection for the rights and freedoms of data subjects in relation to the processing of personal data.
g) Personal data will be retained only for as long as necessary to administer the Program and for compliance, legal, or audit purposes, after which it will be securely deleted or anonymized.
h) The respective data subject will have the rights under the applicable data protection laws (including, Cayman Islands Data Protection Act (“DPA”)) in respect of its personal data, including the following:
(i) Right to access, rectify, or erase its personal data;
(ii) Right to restrict or object to processing;
(iii) Right to data portability (where applicable);
(iv) Right to withdraw consent at any time, without affecting prior lawful processing;
(v) Right to lodge a complaint with a supervisory authority (including, if applicable, a complaint about any perceived violation of the DPA to Cayman Islands Ombudsman at: https://ombudsman.ky/get-in-touch).
- No Employment, Partnership or Agency
Participation in a Quest does not create any employment, partnership, agency, or contractor relationship between the Participant and TAC.
- Liability and Indemnification
To the maximum extent permitted by applicable law, TAC Foundation, its affiliates, contributors, officers, employees, agents and service providers shall not be liable for any indirect, consequential, special, or punitive damages arising out of or in connection with this Program, including but not limited to the issuance or non-issuance of any reward. Nothing in this Program shall exclude liability for death, personal injury, fraud, or other liabilities that cannot be excluded under Cayman Islands law.
The Participant agrees to indemnify and hold harmless TAC Foundation, its affiliates, contributors, officers, employees, agents and service providers from any and all claims, damages, or liabilities arising out of their participation, including any third-party claims related to the submission, tax obligations, or reward payment.
- Governing Law and Jurisdiction
This Program shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law principles.
