TAC COMMUNITY CONTESTS PROGRAM

THIS PROGRAM IS MEANT TO STRUCTURE AND GOVERN PARTICIPATION IN COMMUNITY CONTESTS INITIATED BY TAC, GUIDE INTERNAL DECISION-MAKING AND ENSURE CONSISTENCY. ALL REWARDS ARE DISCRETIONARY AND SUBJECT TO FINAL INTERNAL APPROVAL. TAC RESERVES THE RIGHT TO MODIFY OR TERMINATE THIS PROGRAM OR A CONTEST AT ANY TIME WITHOUT NOTICE.

BY PARTICIPATING IN THE PROGRAM AND ANY CONSTEST, THE PARTICIPANTS CONFIRM THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO TERMS AND CONDITIONS OF THIS PROGRAM, INCLUDING ALL ELIGIBILITY RESTRICTIONS, COMPLIANCE REQUIREMENTS, AND RISK DISCLOSURES.

This TAC Community Contests Program (“Program”) sets out the terms under which eligible TAC community members may participate in contests, campaigns, or interactive activities organized by TAC (each, a “Contest”). This Program is discretionary and nothing in this document creates a legal obligation on the part of TAC Foundation, its affiliates or service providers  (“TAC”). 

  1. Purpose

The Program is designed to encourage and reward user-generated content, including memes, blog posts, videos, social posts, or interactive Telegram/X-based activities, to engage the TAC community, promote TAC’s messaging, and strengthen community participation.

  1. Eligibility and Participation Conditions

Participation in a Contest is open to individuals who meet the eligibility criteria determined by TAC (if any) from time to time and who submit entries in accordance with this Program and specific rules and deadlines announced for each Contest by TAC (each, a “Participant”) via its official accounts on social platforms (including Telegram/X) (“TAC Channels”). 

TAC, at its sole discretion, may restrict participation in a Contest to specific categories of individuals and may determine additional eligibility criteria from time to time. Notwithstanding the foregoing, in order to participate in any Contest, each Participant shall, at a minimum, satisfy all of the following conditions (failure to do so resulting in automatic ineligibility):

a) The Participant is not, and has never been, a Politically Exposed Person (PEP), nor a family member or known close associate of a PEP as defined above and under applicable law.

For the purpose of this Program, a Politically Exposed Person (“PEP”) includes an individual who is or has been entrusted at any time in the last twelve (12) months with a prominent public function (other than as a middle-ranking or more junior official), including the following:

  • heads of state, heads of government, ministers and deputy or assistant ministers;
  • members of parliament or of similar legislative bodies;
  • members of the governing bodies of political parties;
  • members of supreme courts, of constitutional courts or of any judicial body the decisions of which are not subject to further appeal except in exceptional circumstances;
  • members of courts of auditors or of the boards of central banks;
  • ambassadors, charges d'affaires and high-ranking officers in the armed forces;
  • members of the administrative, management or supervisory bodies of State-owned enterprises; and
  • directors, deputy directors and members of the board or equivalent function of an international organisation.

A PEP also includes its:

  • family members: a spouse or civil partner of the PEP; children of the PEP and the spouses or civil partners of the PEP's children; parents of the PEP; and 
  • known close associates: (i) an individual known to have joint beneficial ownership of a legal entity or a legal arrangement or any other close business relations with a PEP; (ii) an individual who has sole beneficial ownership of a legal entity or a legal arrangement which is known to have been set up for the benefit of a PEP.

b) The Participant is not: 

  • listed on, nor affiliated with any person or entity listed on, any sanctions list maintained by the Cayman Islands Monetary Authority or otherwise applicable under Cayman Islands law, British Virgin Islands Financial Services Commission, the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the United Nations Security Council, or other applicable sanctions lists; and
  • a citizen or resident of, or located in, a country or territory subject to comprehensive economic sanctions or embargoes imposed by the Cayman Islands, the British Virgin Islands, the United States, United Nations, European Union, United Kingdom or any other relevant authority; and
  • a current or former investor, stockholder, employee, director, officer, advisor or other consultant of TAC;

c) The Participant has reached the age of majority in its jurisdiction of residence;

d) The Participant shall not use VPNs, proxies, false identities, or any other obfuscation tools for the purpose of circumventing the eligibility, jurisdictional, or compliance requirements set forth in this Program. 

Participation in the Program, any Contest and any rewards obtained in violation of clauses 2(a)-(d) may, at TAC’s sole discretion, be terminated, cancelled, withheld, or clawed back (as applicable).

TAC’s determination of the eligibility criteria and of each individual’s compliance therewith shall be final, binding, and not subject to appeal or review.

  1. Contest Operation and Submission

Contest announcement and terms:

a) Each Contest will be announced by TAC, at its sole discretion, in advance through its TAC Channels (“Announcement”). The Announcement may specify the start date, end date, theme or subject matter, eligibility scope, applicable guidelines, submission instructions, rewards, and any other terms specific to that Contest. No Contest shall be deemed to have commenced until such Announcement has been made by TAC. 

b) Participants shall strictly comply with the terms and guidance specified in the relevant Contest Announcement, and TAC’s determination as to compliance therewith shall be final and binding.

Submission process shall be conducted as follows (unless the relevant Contest Announcement specifies otherwise): 

a) Participants shall submit their entries, consisting of user-generated content, strictly within the timeframe and in accordance with the terms and guidelines specified in the relevant Contest Announcement;

b) Participants shall provide proof of submission by sharing links to their content in the Telegram group designated by TAC, unless the relevant Contest Announcement specifies an alternative submission method;

c) All entries and their submission shall follow the theme or subject matter announced for the Contest and tag TAC Channels or accounts as specified in the Contest Announcement;

d) The content contained in entries of the Participant submitted for a Contest shall:

  • Be original, lawful, related to TAC and consistent with TAC’s brand and messaging in accordance with guidance and instructions set out in the Contest Announcement;
  • Not include, promote, or otherwise be associated with any of the following:
    • Violence, threats of violence, or incitement to violence;
    • Pornographic, sexually explicit, or sexually suggestive material;
    • Hate speech, discriminatory, defamatory, or harassing material (including on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other protected category);
    • Extremist, terrorist, or politically inflammatory content;
    • Misinformation, false or misleading statements, or content intended to deceive;
    • Unlawful activities, including but not limited to gambling, narcotics, or arms trade;
    • Malicious software, phishing, or any other harmful code;
    • Infringement of intellectual property rights, including unauthorized use of third-party material; and/or
    • Any other material which, in TAC’s sole discretion, may damage the reputation, goodwill, or legal compliance of TAC.

e) Submissions that are incomplete, fraudulent, plagiarized, unlawful, or otherwise non-compliant with the Contest Announcement or this Program’s terms may be disqualified at TAC’s sole discretion. TAC’s decision on disqualification and determination of each Participant’s compliance with this clause 3 and terms of the Contest shall be final, binding, and not subject to appeal or review.

  1. Evaluation and Rewards

Evaluation of the Participant’s submissions and selection of the winners of a Contest is based on the Participant’s content quality, creativity and engagement around TAC in accordance with the Announcements.

Winners of a Contest will be announced via TAC Channels following the end of the Contest deadline and evaluation.

Unless the relevant Contest Announcement specifies otherwise, Contest winners’ rewards are allocated as follows per a Contest:

  1. 1st place: USD 250 (or its equivalent in USDT, USDC or any other cryptocurrency / token) each.
  2. 2nd place: USD 150 (or its equivalent in USDT, USDC or any other cryptocurrency / token) each.
  3. 3rd place: USD 100 (or its equivalent in USDT, USDC or any other cryptocurrency / token) each.

The amount of the rewards may be amended at TAC’s sole discretion on a case-by-case basis. TAC reserves the right to modify reward amounts or decline to issue rewards at any time. No specific reward amount is guaranteed to any Participant and subject to TAC’s decision, and all reward decisions are final. In order to receive the reward, the Participant must provide a valid TON-compatible wallet address to TAC for the reward payout.

  1. Compliance Checks

TAC may request that, as a condition to payment of any reward to the respective Participant, the Participant and its wallet address shall successfully pass compliance screening, including, but not limited to, sanctions checks to verify the compliance of the Participant with clauses 2(a) - (d) of this Program, duplicate wallet checks, and Know-Your-Transaction (“KYT”) procedures, and the Participant agrees to provide all necessary identification and documentation for the purposes of such compliance screening.

  1. Intellectual Property License

By submitting any content under any Contest, the Participant grants TAC a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable and transferable license to use, reproduce, modify, distribute, display, perform, and otherwise exploit such content for any purpose related to the promotion of TAC community, brand and services. The Participant agrees that no compensation, other than any discretionary reward, shall be due in connection with such license. 

  1. Data Consent

By participating in the Contest, the Participant provides the following consents regarding their personal data (if applicable):

a) TAC may collect, store, and process personal data, including but not limited to name, contact information, wallet address, jurisdiction of residence, and any information submitted as part of the application in respect of the Participant (“personal data”).

b) If collected, TAC Foundation (a Cayman Islands company, registered under number CR-421525) will be the data controller even though it may from time to time engage service providers and other third parties to perform certain activities on its behalf.

c) If collected, personal data will be processed solely for purposes of:

(i) Evaluating eligibility for the Program or a Contest;

(ii) Administering the Program and a Contest, including reward allocation;

(iii) Compliance with applicable laws and regulations (including, anti-money laundering, counter-terrorist financing and sanctions checks); and

(iv) Internal record-keeping and audit purposes. 

d) Processing is based on the Participant’s consent and/or the legitimate interest of TAC to administer and operate the Program and a Contest in which the respective Participant participates.

e) Personal data may be shared by TAC with its affiliates, service providers, compliance partners, or auditors solely for the purposes set out above. 

f) Personal data may be stored or transferred to jurisdictions outside of the Cayman Islands/EEA with adequate level of protection for the rights and freedoms of data subjects in relation to the processing of personal data.

g) Personal data will be retained only for as long as necessary to administer the Program and for compliance, legal, or audit purposes, after which it will be securely deleted or anonymized.

h) The respective data subject will have the rights under the applicable data protection laws (including, Cayman Islands Data Protection Act (“DPA”)) in respect of its personal data, including the following:

(i) Right to access, rectify, or erase its personal data;

(ii) Right to restrict or object to processing;

(iii) Right to data portability (where applicable);

(iv) Right to withdraw consent at any time, without affecting prior lawful processing;

i) Right to lodge a complaint with a supervisory authority (including, if applicable, a complaint about any perceived violation of the DPA to Cayman Islands Ombudsman at: https://ombudsman.ky/get-in-touch).

  1. Taxes

Participants are solely responsible for determining, reporting, and paying any and all taxes, duties, or other governmental charges that may apply to their rewards for a Contest, in accordance with the laws of their jurisdiction. TAC assumes no liability for such obligations and will not provide tax advice or reporting assistance.

  1. No Employment, Partnership or Agency

Participation in the Program and a Contest does not create any employment, partnership, agency, or contractor relationship between the Participant and TAC.

10. Liability and Indemnification

To the maximum extent permitted by applicable law, TAC Foundation, its affiliates, contributors, officers, employees, agents and service providers shall not be liable for any indirect, consequential, special, or punitive damages arising out of or in connection with this Program, including but not limited to the issuance or non-issuance of any reward. Nothing in this Program shall exclude liability for death, personal injury, fraud, or other liabilities that cannot be excluded under Cayman Islands law. All Participants acknowledge that participation in the Program and in a Contest is entirely voluntary and at their own risk. 

The Participant agrees to indemnify and hold harmless TAC Foundation, its affiliates, contributors, officers, employees, agents and service providers from any and all claims, damages, or liabilities arising out of their participation, including any third-party claims related to the submission, tax obligations, or reward payment. 

TAC shall not be liable for any errors, losses, or damages arising from the transfer of rewards, including but not limited to, incorrect wallet addresses, unauthorized access, or security breaches. It is the sole responsibility of the Participant to ensure that the provided wallet address is accurate, secure, and capable of receiving rewards. The Participant acknowledges that any failure to maintain the security and correctness of their wallet address may result in the forfeiture of the reward, and TAC shall bear no liability for such forfeiture. 

11. Governing Law and Jurisdiction

This Program shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law principles.
